Rezumat

The conclusion of the legal acts of the company having legal personality is based on a volitional procedure organized by law. Law regulates the formation of the social will, the determination of the legal will of the company and its expression in its relationships with third parties. Within this procedure, two legal powers are essential: the power to decide and the power to represent. Although, formally, this procedure remains intact even when the company belongs to a group of companies those influences coming from outside cannot be ignored.
