Rezumat

The text approaches three fundamental conceptions of Romanian company law from the perspective of the economic analysis of law. It attempts to demonstrate that, from such perspective, they are misconceived and, for this reason, they tend to impede a consistent theory of company law in Romanian legal doctrine and they have harmful consequences over legal practice.
